1. Acceptance of Terms
By creating an account or using Neuphlo, you ("User" or "Customer") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use Neuphlo.
2. Purpose of the Service
Neuphlo is a software-as-a-service (SaaS) platform for agentic project management, where AI agents help do the work and people make the decisions. It brings together Cowork (AI agents and a shared workspace), Tasks, Knowledge (docs, sites, courses), Conversations, and Testing. Neuphlo is available as a hosted cloud service and as software you can self-host. We continually improve and expand the platform, and specific features may change over time.
3. Plans and Subscriptions
Starter
A free version of Neuphlo with certain limitations. No payment required.
Solo, Plus, and Enterprise
- Paid plans that add features, higher limits, and additional seats. Solo is a single-seat plan; Plus and Enterprise are for teams.
- Available on a monthly or yearly basis. Any free trial, and its length, is shown at the point of purchase.
- You may cancel at any time; see "Cancellations and Downgrades" below.
How you pay
- On the web, subscriptions are billed through Stripe. By subscribing, you authorize us (via Stripe) to charge your chosen payment method for applicable fees.
- In our Apple apps, subscriptions are sold through Apple In-App Purchase. Payment is charged to your Apple Account, and your subscription automatically renews for the same period unless you turn off auto-renew at least 24 hours before the end of the current period. You manage or cancel these subscriptions in your Apple Account settings, and Apple's Terms of Use (EULA) apply to those purchases.
All prices include applicable taxes unless otherwise stated. We reserve the right to adjust pricing with prior notice to users.
By starting a paid subscription, you expressly consent to immediate access to the service and acknowledge that, to the extent permitted by law, you waive your 14-day right of withdrawal under EU consumer law. Purchases made through Apple are additionally governed by Apple's refund and cancellation policies.
4. Cancellations and Downgrades
You may cancel your paid plan at any time. After cancellation, your account will automatically revert to the free Starter plan at the end of the billing period.
No partial refunds are provided for unused time or features. Deleted or cancelled accounts may result in loss of data unless exported before cancellation.
If we make material changes that significantly affect functionality, users will be notified and may terminate the agreement before the changes take effect.
5. User Responsibilities
You agree to:
- Use Neuphlo in compliance with all applicable laws and these Terms.
- Avoid any actions that could harm Neuphlo or other users, including:
- Uploading malicious or harmful content.
- Spamming or overloading the system.
- Infringing on intellectual-property rights.
We reserve the right to suspend or terminate accounts found in violation of these responsibilities.
6. AI Features and Connected Providers
Neuphlo includes AI features. These features run through AI and voice providers that a workspace administrator connects using their own account and credentials. When you or your workspace use an AI feature, the content you submit to it (for example messages, documents, tasks, or audio) is sent to the provider you have connected so it can generate a response. If no provider is connected, the AI features are unavailable, and no content is sent to any AI provider.
You are responsible for choosing your providers and for complying with their terms. AI output can be inaccurate or incomplete; you are responsible for reviewing it before relying on it, and you must not use the AI features for unlawful or prohibited purposes. Which providers receive your content, and where, is described in our Privacy Policy.
7. Service Availability and Liability
Neuphlo is provided "as is" and "as available." We do not guarantee uninterrupted uptime or error-free operation.
Our hosting providers ensure data security, but we are not liable for outages or data loss caused by external providers.
To the extent permitted by law, our total liability shall not exceed the amount paid by you for the service during the preceding 12 months. To the fullest extent permitted by law, Neuphlo I/S shall not be liable for indirect or consequential damages.
8. Data Protection and Privacy
We collect and process personal data such as email addresses for account management and communication. We work with a small number of trusted sub-processors, all operating within the EU and compliant with GDPR:
- Stripe: Payment processing (EU).
- Hetzner: Application hosting, delivery, database storage and email (EU, Germany).

9. Modifications to These Terms
We may update these Terms from time to time. Users will be notified of significant changes, and continued use of Neuphlo after such changes constitutes acceptance of the updated Terms.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of Denmark and applicable EU regulations. Disputes shall be subject to the exclusive jurisdiction of the Danish courts, unless otherwise required by mandatory consumer-protection laws in your country of residence.
